Welcome to My Virtual Accounting Firm (MVAF), operated by My Virtual Accounting Firm ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the MVAF platform, including all accounting, bookkeeping, payroll, tax preparation, and related financial management services. By accessing or using MVAF, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Overview and Acceptance
1.1 The Platform
•MVAF is a cloud-based accounting and financial management platform designed for small businesses, freelancers, and enterprises.
•Access is provided via web application and may include mobile applications.
1.2 Eligibility
•You must be at least 18 years old and have the legal capacity to enter into a binding contract.
•You must be authorized to conduct business in your jurisdiction (if using MVAF for business purposes).
•You represent and warrant that all information you provide during registration is accurate and complete.
1.3 Acceptance
•By creating an account or using MVAF, you acknowledge that you have read, understood, and agree to be bound by these Terms.
•If you are using MVAF on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Account Registration and Security
2.1 Account Creation
•You must create an account to access most MVAF features.
•You are responsible for maintaining the confidentiality of your login credentials.
•You agree to notify us immediately of any unauthorized access or security breach.
2.2 Multi-Role Access
•MVAF supports multiple user roles: Admin, Staff Accountant, Client, and Applicant.
•Admin users may invite team members and clients to collaborate within the platform.
•Each user is responsible for their own account security and activity.
2.3 Account Security Requirements
•Use strong, unique passwords (minimum 8 characters, combination of letters, numbers, and symbols).
•Enable two-factor authentication (2FA) when available (highly recommended for admin and staff accounts).
•Do not share your login credentials with anyone.
•Log out of your account when using shared or public devices.
3. Subscription Plans and Payments
3.1 Plan Selection
•MVAF offers tiered subscription plans (Starter, Business, Enterprise) with varying features and pricing.
•Plan details, features, and pricing are available on our Pricing page or via the Subscription Module.
•Prices are displayed in your local currency based on your selected country.
3.2 Billing and Payment
•Subscription fees are billed in advance on a monthly, quarterly, or annual basis, depending on your selected billing cycle.
•Payment is processed via credit card, debit card, or other payment methods made available on the platform.
•All fees are in your local currency. Applicable taxes will be added based on your jurisdiction.
3.3 Auto-Renewal
•Subscriptions automatically renew at the end of each billing period unless cancelled.
•You may cancel your subscription at any time via the Subscription Module or by contacting support.
•Cancellation takes effect at the end of the current billing period.
4. Acceptable Use and Conduct
4.1 Permitted Use
•MVAF is licensed to you for internal business and personal financial management purposes only.
•You may not resell, redistribute, or commercially exploit access to the platform.
•You may not use MVAF for any illegal purpose or in violation of any applicable laws.
4.2 Prohibited Conduct
•You agree NOT to: reverse engineer, decompile, or attempt to access the source code of MVAF.
•You agree NOT to: use automated systems (bots, scrapers, spiders) to access or interact with the platform without prior written consent.
•You agree NOT to: upload false, inaccurate, or misleading financial data with intent to defraud.
5. Professional Services Disclaimer
5.1 Software vs. Professional Advice
•MVAF is accounting SOFTWARE, not a substitute for professional accounting, tax, or legal advice.
•You are responsible for reviewing all calculations, reports, and filings generated by MVAF before submitting to government authorities.
5.2 Tax and Payroll Calculations
•MVAF uses tax tables and guidelines from CRA (Canada Revenue Agency) for calculations.
•Tax rates and thresholds are updated periodically but may not reflect the most recent legislative changes.
•You are responsible for verifying all calculations before filing with tax authorities.
6. Data Security and Privacy
6.1 Security Measures
•MVAF employs industry-standard security measures including: encryption in transit (TLS 1.3), encryption at rest (AES-256), access controls, and regular security audits.
•Financial data is isolated by client_email at the database query level. Each client can access only their own data.
6.2 Data Retention
•Financial records are retained for a minimum period as required by your local tax authority (typically 7 years).
•After account closure, you may request a full data export within 30 days.
6.3 Privacy Policy
•Your use of MVAF is also governed by our Privacy Policy, available at /PrivacyPolicy.
•The Privacy Policy explains how we collect, use, and protect your personal and financial information in compliance with PIPEDA.
7. Third-Party Integrations
7.1 Connected Services
•MVAF integrates with third-party services including: Plaid (bank connectivity), PaySprint (payment processing), Shopify (e-commerce), Google Drive/OneDrive (document storage), and Zapier (automation).
•Use of these services is subject to their respective terms of service and privacy policies.
8. Intellectual Property Rights
8.1 MVAF Ownership
•MVAF and its entire content, features, and functionality are owned by My Virtual Accounting Firm and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.
9. Disclaimers and Limitation of Liability
9.1 No Warranties
•MVAF is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
•We do not warrant that financial calculations will always be accurate.
9.2 Limitation of Liability
•To the maximum extent permitted by law, My Virtual Accounting Firm shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
•Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim, or CAD $100 (or equivalent in your local currency), whichever is greater.
9.3 Tax and Financial Penalties
•We are not liable for any penalties, interest, fines, or other charges imposed by tax authorities resulting from your use of MVAF.
•You are solely responsible for reviewing, verifying, and filing all tax documents and financial reports.
10. Termination
10.1 Termination by You
•You may terminate your account at any time by contacting support.
•Upon termination, you may export your data within 30 days.
10.2 Termination by Us
•We may suspend or terminate your access to MVAF at our sole discretion, with or without cause, with 30 days' prior written notice.
•We may terminate immediately if you violate these Terms or engage in fraudulent activity.
11. Governing Law and Dispute Resolution
11.1 Governing Law
•These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
•For customers in specific jurisdictions, local consumer protection laws may apply.
11.2 Informal Resolution
•Before pursuing formal legal action, you agree to contact us at info@myvirtualaccountingfirm.com to attempt to resolve the dispute informally.
•We will respond within 30 days and work in good faith to reach a mutually acceptable resolution.
